IMPORTANT: THESE TERMS INCLUDE LIMITATIONS OF LIABILITY AND AN AGREEMENT TO RESOLVE CERTAIN DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION. SECTION 23 EXPLAINS THE ARBITRATION AGREEMENT, EXCEPTIONS AND YOUR RIGHT TO OPT OUT WITHIN 30 DAYS. PLEASE READ THESE TERMS BEFORE ACCEPTING THEM.
1. Agreement and Acceptance
These Terms and Conditions (“Terms”) govern access to and use of the website at https://correiafinancial.biz and the commercial financing brokerage services, application processes, portals, communications and related tools provided by Correia Solutions LLC dba Correia Financial (“Correia Financial,” “Company,” “we,” “us” or “our”), collectively the “Services.”
“You” means the person accepting these Terms and, when that person acts with authority for a business, that business. By checking an acceptance box, signing an agreement incorporating these Terms, or taking another action expressly identified as acceptance after receiving reasonably conspicuous notice and access to these Terms, you agree to them. Merely displaying a link to these Terms does not replace any affirmative acceptance required by law.
If you act for a business, you represent that you have authority to bind it. Accepting on behalf of a business does not, by itself, create a personal guaranty of its financing or fees. You remain responsible for your own fraud, unlawful conduct and obligations you expressly undertake in an individual capacity. If you do not agree, do not complete an acceptance step or request Services requiring acceptance.
2. Eligibility and Commercial Purpose
You must be at least 18 years old, have legal capacity to contract, and be authorized to request financing assistance for the business involved. You must provide accurate identifying information and any information reasonably needed to verify your authority and eligibility.
These Services concern financing for business or commercial purposes, not personal, family or household use. You must truthfully disclose the intended use of proceeds. A commercial-purpose designation does not eliminate protections or requirements that otherwise apply by law.
Services and products are subject to jurisdiction, licensing or registration requirements, provider availability, industry restrictions and applicable law. Website access does not mean a particular product is available or that we are authorized to arrange it in every state. We may decline or refer an inquiry when we cannot lawfully provide the requested service.
3. Our Role as a Financing Broker
Correia Financial is a commercial financing broker and intermediary. We are not a bank, credit union or direct funding provider. We do not advance funds or make a provider's final underwriting decision.
Our Services may include gathering and reviewing information, organizing documents, identifying potential financing providers, submitting authorized applications, communicating with providers and helping you understand and compare proposals. Available products may include working capital financing, revenue-based financing or merchant cash advances, business lines of credit, term loans, SBA financing, equipment financing and invoice factoring. Availability varies. Not every financing product is a loan; the applicable provider agreement and law determine its nature.
We work with a network of providers and intermediaries and do not represent that we review the entire market or obtain the lowest price or most favorable terms available anywhere. Provider compensation may affect the providers and products available through our network, as described in Section 10. Nothing here authorizes misleading recommendations or eliminates a disclosure duty imposed on us by law.
We are independent of financing providers. Neither party can bind the other unless separately authorized. We do not hold ourselves out as an agent of the SBA or any government agency.
4. No Guarantee; Estimates and Conditional Offers
Applications, prequalification results, eligibility indications, product matches, calculators, sample terms and estimated funding times are not binding commitments to lend or fund. We do not guarantee approval, an amount, a rate, a payment structure, a funding date, refinancing eligibility or a particular business result.
Provider proposals may be conditional on verification, documentation, credit review, account activity, collateral, existing obligations, execution of agreements and other stated conditions. A provider may modify or withdraw a preliminary proposal subject to its commitments and applicable law. An executed agreement is not overridden by this paragraph.
You should not commit to a purchase, payroll obligation, payoff or other expenditure in reliance on an estimate or preliminary approval. Confirm that funds have been disbursed and are available before relying on them.
We do not control independent provider decisions or processing delays. This does not excuse our own contractual obligations, misrepresentations or conduct for which liability cannot lawfully be limited.
5. Your Information and Continuing Responsibilities
You represent that information and documents you provide are accurate, complete, current, authentic and not materially misleading. You must have authority to provide information concerning the business, owners, guarantors and other individuals. Do not submit altered statements, false identities, fabricated revenue or documents you are not authorized to disclose.
Promptly notify us of material changes affecting an active application, including new financing, additional liens, defaults, bankruptcy filings, ownership changes, account changes, significant revenue changes or inaccuracies in prior submissions. Disclose existing obligations and pending applications when relevant to underwriting.
We may reasonably rely on your information, request clarification or supporting records, and decline or suspend a submission if we identify concerns. This provision does not eliminate verification or other duties imposed on us by law. You must review applications, proposals and final documents for accuracy and promptly identify errors.
You are responsible for evaluating whether financing is appropriate for your business and whether you can meet its obligations. You are not required to accept an offer merely because we present it.
6. Application Review and Submission Authorization
When you request financing assistance and provide the required authorizations, you authorize us to organize, review and transmit relevant application information and supporting documents to financing providers, underwriting partners, verification services and placement intermediaries for the requested financing process, within the scope of those authorizations and our Privacy Policy.
A request may be submitted to more than one provider. We may use electronic portals and service providers to facilitate review and submission. Internal screening or a decision not to submit a file is a brokerage determination, not a lender commitment or approval.
These Terms do not, by themselves, authorize us to sign financing agreements, accept offers, guarantee obligations, debit an account, transfer funds or apply your signature to another party's application. Any such authority must arise from a separate, valid and sufficiently specific authorization, to the extent permitted by law. Any separately granted authority to transfer application information or apply an application signature remains limited to its express scope and does not authorize acceptance of financing.
You may ask us to stop further submissions by contacting us. We will act on the request within a reasonable time, subject to applicable law. We cannot undo a completed disclosure or erase records another recipient must lawfully retain. Cancellation does not automatically cancel a separate provider agreement or extinguish a fee already lawfully earned under an accepted fee agreement.
7. Credit Reports and Provider Requirements
Correia Financial does not directly pull consumer credit reports. Financing providers may obtain consumer or business credit information and perform their own inquiries subject to applicable law and required authorizations. We may receive information you provide and relevant provider feedback as permitted by law.
Do not assume an inquiry will be soft, have no credit impact or remain invisible to other creditors unless the responsible provider confirms that information. These Terms are not a substitute for a required credit authorization. The parties responsible for required notices must provide them; we do not disclaim obligations applicable to our own activities.
8. Provider Agreements and Financing Obligations
Any financing is governed by the agreement you enter into with the provider. Review the amount disbursed, total cost, payment frequency, fees, security interests, personal guarantees, reconciliation rights, prepayment provisions, default terms and other material conditions before accepting.
Provider documents govern your financing obligations. These Terms govern our brokerage relationship and do not amend a provider contract. Provider disputes do not excuse obligations owed to another party unless the relevant agreement or law provides otherwise.
We are responsible for disclosures and duties imposed on us, and providers remain responsible for those imposed on them. These Terms do not transfer all regulatory responsibility to the provider or to you. We cannot waive, amend or promise a payoff, release, modification or renewal on a provider's behalf without authority.
9. Independent Professional Advice
Our brokerage explanations and general educational materials are not legal, tax, accounting, investment or financial planning advice. Consult an appropriately qualified adviser about questions requiring those services.
These Terms do not create a general fiduciary, investment advisory, partnership or joint venture relationship. Any limited agency expressly granted in a separate authorization remains limited to that authorization. Nothing here disclaims a duty that applicable law imposes regardless of the parties' labels.
10. Compensation, Client Fees and Payment Disputes
We may receive a commission, referral payment or other compensation from a financing provider or placement partner when financing is completed. Compensation may vary by provider, product and transaction and may create an incentive to recommend one option over another. We will provide compensation disclosures when required by law or a separate agreement.
A client-paid fee is owed only if its amount or calculation, payment trigger and other material terms have been disclosed and accepted in a separate written fee agreement, and the fee is legally permitted. These Terms alone do not impose an application fee, success fee, cancellation fee, renewal fee or undefined standard commission on you. Provider fees are governed by provider disclosures and agreements.
Refundability and when a fee is earned are governed by the applicable accepted fee agreement and law. We will not retain amounts that applicable law requires us to refund. A charge cannot be made to your payment method without required authorization.
If you believe a charge is incorrect, contact us promptly with the relevant information so we can investigate. We may contest an improper payment reversal using accurate supporting records and pursue legally recoverable unpaid amounts. This provision does not prohibit a good-faith payment dispute, require you to miss a bank deadline or waive rights under law or applicable payment-network rules. Collection costs and attorneys' fees are recoverable only where authorized by law or an enforceable agreement.
11. Introductions and Protection Against Fee Evasion
You agree not to knowingly misrepresent the source of an introduction, conceal a completed transaction or direct another party to falsify records for the purpose of avoiding compensation lawfully owed to us under an accepted agreement.
You remain free to compare financing options and communicate directly with providers. These Terms do not impose a blanket restriction on doing business with a provider we introduce. Any exclusivity, protected-introduction period, renewal compensation or client obligation to pay an introduction-related fee must be stated in a separate written agreement that identifies its scope and calculation and complies with applicable law.
We may pursue actual, legally recoverable losses resulting from a proven breach, subject to the governing agreement and law. There is no automatic penalty, presumed commission amount or double recovery under these Terms. Provider-paid compensation disputes do not automatically become a client's debt.
12. Privacy, Confidential Documents and AI Tools
Our Privacy Policy, made available through our website and application process, describes how we collect, use, disclose, retain and protect information. These Terms do not expand permissions beyond that Policy, a valid specific authorization or applicable law. We do not sell leads or application documents for unrelated independent marketing.
You retain ownership of your documents. You grant us a limited right to receive, copy, store, analyze, format and transmit them only as reasonably needed to provide authorized Services, comply with law and perform the purposes described in our Privacy Policy. This is not permission to publish your financial records or use them for unrestricted commercial purposes.
We use Maverick and other technology, including AI tools, to assist with document processing, communications, summaries, preliminary product matching and administrative work. Relevant applications, bank statements and conversations may be processed through authorized service providers as described in our Privacy Policy. Automated outputs can contain errors and are not binding approvals, provider commitments or professional advice. Tell us if an output appears incorrect so it can be reviewed.
You may share offers and records with your advisers, regulators and other persons as permitted by law. Nothing in these Terms prohibits truthful reviews, lawful complaints, protected reporting or consultation with counsel.
13. Calls, Email and SMS
We may communicate about your inquiry or application through legally permitted channels consistent with your permissions and preferences. Acceptance of these Terms is not, by itself, written consent to regulated automated marketing calls or texts. Separate consent is obtained where required.
If you opt in to SMS, Correia Solutions LLC dba Correia Financial may send messages within the scope of that consent, such as appointment confirmations, document requests, application updates and follow-ups. Promotional financing or renewal messages require the applicable marketing permission. Message frequency varies; message and data rates may apply. Consent to marketing calls or SMS is not a condition of purchase or obtaining brokerage assistance.
Reply STOP to unsubscribe from SMS and HELP for help. You can also contact info@correiafinancial.biz or (619) 387-5891. We honor applicable revocation requests, including other reasonable methods where required by law. A permitted nonpromotional confirmation may follow an opt-out. Delivery is subject to carrier and network availability; carriers are not liable for delayed or undelivered messages to the extent permitted by law.
Use the unsubscribe link in a marketing email or contact us to stop marketing emails or calls. Opting out of marketing does not automatically terminate an active application. Necessary service information may be provided through a lawful alternative channel; an active application does not override a valid withdrawal of consent.
Mobile information and SMS consent are not sold or shared with third parties or affiliates for their independent marketing. Limited disclosure to messaging and support providers to operate our program is addressed in our Privacy Policy.
We may record or transcribe calls for service, accuracy, quality assurance, training, compliance and documentation, with notice and consent where required. This paragraph does not substitute for required recording consent. Tell us if you prefer an alternative communication method.
14. Electronic Records and Signatures
You may elect to receive and execute documents electronically through our authorized processes. Electronic signatures and records have legal effect to the extent provided by applicable law. We may retain acceptance timestamps, disclosure versions and related records to document the transaction.
Where additional electronic-delivery disclosures or consent are required, they will be provided separately. You can request paper copies, update your contact information or ask about withdrawing electronic-delivery consent by contacting us. We will explain any practical effect on future Services. Withdrawal does not invalidate a previously valid signature or record. Signing these Terms does not authorize an account debit or a signature on a separate financing contract.
15. Accounts and Security
Protect account credentials and use only access you are authorized to have. Do not share individual credentials or access another applicant's records. Authorized team members should use separately assigned access where available. Notify us promptly of suspected compromise, unauthorized activity or incorrect recipients.
You are responsible for actions you authorize and for losses attributable to your breach of these duties to the extent permitted by law. You are not automatically liable for every unauthorized action merely because it involved your account. We may verify identity, restrict access or reset credentials to protect information and meet legal obligations.
16. Acceptable Use
Do not use the Services to commit fraud, impersonate another person, submit unauthorized information, distribute malware, evade security controls, interfere with operations, access restricted data, infringe intellectual property or violate law.
You may not scrape nonpublic information, conduct unauthorized vulnerability testing, reverse engineer protected systems except where legally permitted, or use automated methods to bypass access restrictions. These restrictions do not prohibit legally protected activity, ordinary assistive technology or access we expressly authorize.
17. Intellectual Property
The Company's branding, website design, original materials and proprietary tools belong to us or our licensors. Subject to these Terms, you receive a limited, nonexclusive, nontransferable right to access and use them for their intended lawful purpose.
You may retain copies of your applications, agreements, disclosures and communications and share them with authorized advisers as needed. Except as permitted by law or written authorization, you may not sell, redistribute or exploit protected Company materials or remove ownership notices. We do not claim ownership of provider materials, public information or your business records.
18. External Services and Availability
Links, integrations and third-party services may be governed by their own terms. We do not control independent providers' operations, content or systems. A link is not a guarantee of performance or security. We remain responsible for our own conduct and nonwaivable obligations.
The Services may be interrupted for maintenance, security, network problems or other reasons. We may change features or discontinue general website functionality. We will address existing contractual commitments according to their terms and applicable law.
Neither party is responsible for delay caused by events beyond its reasonable control, such as natural disasters, widespread network outages or government action, to the extent the event actually prevents performance and reasonable mitigation is undertaken. This does not excuse payment already lawfully due, failure to maintain required safeguards or obligations that cannot legally be suspended.
19. Disclaimer of Warranties
TO THE EXTENT PERMITTED BY LAW, THE WEBSITE, GENERAL CONTENT AND TECHNOLOGY TOOLS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR A PARTICULAR FINANCING RESULT.
This disclaimer does not override an express commitment in a signed agreement, authorize inaccurate advertising, or exclude warranties or duties that cannot lawfully be excluded. We remain responsible for performing any Services we expressly undertake under applicable agreements and law.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CORREIA FINANCIAL AND ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM THE SERVICES OR THESE TERMS, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES OR BUSINESS INTERRUPTION, WHETHER ASSERTED IN CONTRACT, TORT OR ANOTHER LEGAL THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY.
SUBJECT TO THE EXCEPTIONS BELOW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM A PARTICULAR TRANSACTION OR RELATED SERIES OF EVENTS WILL NOT EXCEED THE GREATER OF (A) $1,000 OR (B) THE TOTAL FEES AND COMMISSIONS ACTUALLY RECEIVED BY US FROM YOU AND FINANCING PROVIDERS FOR THE TRANSACTION GIVING RISE TO THE CLAIM. FOR A CLAIM UNRELATED TO A FINANCING TRANSACTION, THE CAP IS THE GREATER OF $1,000 OR THE FEES YOU PAID US FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT.
These limits do not apply to fraud, willful misconduct, gross negligence, violations of law or other liability to the extent applicable law prohibits limiting it. They do not limit nonwaivable statutory remedies, required refunds or legally protected relief. We do not require a release of unknown claims or waive liability for all future misconduct.
Independent provider decisions or defaults do not, by themselves, establish our liability. These limits are intended to allocate permitted commercial risks, not eliminate responsibility that cannot lawfully be excluded. If a limitation is unenforceable, it applies only to the extent permitted by law.
21. Indemnification
To the extent permitted by law, you will indemnify and hold harmless the Company and its members, officers, employees and agents from third-party claims, resulting damages and reasonable defense costs to the extent caused by your material breach of these Terms, fraudulent submissions, unauthorized disclosure of another person's information, infringement of another party's rights or unlawful misuse of the Services.
This obligation does not cover losses caused by the indemnified party's own negligence, misconduct or violation of law. An ordinary disagreement with a provider or a complaint against us does not, by itself, trigger indemnification.
We will give reasonably prompt notice of a covered claim and reasonably cooperate at your expense. With counsel reasonably acceptable to us, you may control its defense. We may participate with our own counsel at our expense, except where separate representation is reasonably necessary because of a conflict and the cost is legally recoverable. You may not settle a claim in a manner that admits wrongdoing by us, imposes nonmonetary obligations on us or fails to release us without our written consent, which will not be unreasonably withheld.
22. Suspension, Termination and Survival
You may stop using the Services and request cancellation of pending brokerage work. We may suspend or terminate Services for fraud, material breach, security concerns, unlawful activity, failure to provide necessary information, abusive or threatening conduct, or because the requested service is unavailable or cannot lawfully be provided. Where practicable, we will give notice and a reasonable opportunity to address a remediable issue; immediate action may be necessary for safety, security or legal reasons.
Termination does not automatically forfeit a refund, create a new fee, cancel a provider agreement or erase a lawfully earned payment obligation. Treatment of information after termination follows our Privacy Policy and applicable law. A marketing opt-out or good-faith complaint is not, by itself, grounds for a penalty.
Provisions that by their nature should continue survive termination, including accrued payment obligations, permitted document retention, intellectual property, applicable liability limitations, indemnification, dispute resolution and general contract provisions.
23. Dispute Resolution and Individual Arbitration
Please read this section carefully. If you accept these Terms and do not timely opt out, you and the Company agree to binding individual arbitration of covered disputes instead of a court trial, subject to the exceptions below.
A. Informal Resolution
Before commencing arbitration, the complaining party will send a written notice identifying the parties, relevant transaction, facts and relief requested. Notices to the Company may be sent to info@correiafinancial.biz or to our mailing address, Attn: Legal Notices. We will send a notice to your last provided email or mailing address.
The parties will attempt in good faith to resolve the dispute for 30 days after receipt. A personal conference may be arranged by agreement but is not an additional filing prerequisite. Either party may file sooner to preserve a deadline or obtain urgent relief. To the extent legally permitted, applicable filing deadlines are tolled during the 30-day resolution period. This process does not restrict regulatory complaints or protected reporting.
B. Covered Claims and Governing Arbitration Law
Except as provided below, either party may require individual arbitration of a dispute between you and the Company arising from these Terms, the Services, our communications or the brokerage relationship, whether based on contract, tort or statute. The Federal Arbitration Act governs this arbitration agreement to the extent applicable; otherwise applicable arbitration law governs.
This agreement does not impose arbitration on an independent provider that has not agreed to it and does not replace the dispute terms of your financing agreement.
C. Administrator, Rules and Procedure
Arbitration will be administered by the American Arbitration Association (“AAA”) before one neutral arbitrator under its applicable Commercial Arbitration Rules. If AAA determines that its Consumer Arbitration Rules or other mandatory consumer protections apply, those rules and protections will apply instead. Rules and filing information are available at https://www.adr.org (opens in a new tab).
The arbitrator may award the relief available on an individual claim under applicable law, subject to enforceable contract provisions, and will issue a reasoned written award. Reasonable discovery will be available under the applicable rules. Judgment on an award may be entered in a court with jurisdiction. Review of an award is limited as provided by applicable law.
Hearings may be held remotely by agreement or as permitted by the applicable rules. An in-person hearing will ordinarily take place in San Diego County, California, unless the parties agree otherwise or applicable law or AAA rules require a reasonably accessible location. The location provision will not be used to deprive a party of a meaningful opportunity to present a claim.
D. Fees and Costs
Fees are allocated under applicable AAA rules and law. We will pay fees that the Company is required to pay and any additional arbitration costs necessary to prevent this agreement from being unenforceable because of prohibitive costs. Each party otherwise bears its own attorneys' fees unless applicable law or a valid agreement authorizes an award. Nothing requires automatic equal splitting of consumer arbitration fees or payment of fees prohibited by law.
E. Exceptions and Court Determinations
Either party may bring an eligible individual claim in small claims court and keep it there while it remains eligible. Either party may seek temporary court relief needed to preserve the status quo pending arbitration without waiving arbitration of the merits. Neither party is prevented from contacting government agencies, cooperating with investigations or pursuing relief that cannot lawfully be subjected to arbitration.
A court, not the arbitrator, decides disputes about formation or existence of this arbitration agreement, whether a party accepted it, and enforceability of the individual-action restriction below. Other threshold issues are determined as provided by applicable law and rules; these Terms do not make an unrestricted delegation of all enforceability issues to the arbitrator.
F. Individual Proceedings; Protected Relief
TO THE EXTENT PERMITTED BY LAW, COVERED ARBITRATION PROCEEDINGS MUST BE BROUGHT INDIVIDUALLY, NOT AS A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. CLAIMS MAY NOT BE CONSOLIDATED WITHOUT ALL AFFECTED PARTIES' CONSENT, EXCEPT AS REQUIRED BY LAW OR APPLICABLE MANDATORY RULES.
This provision does not waive nonwaivable public injunctive relief, statutory representative rights or remedies that cannot lawfully be restricted. If a request for relief cannot lawfully be arbitrated or restricted, that request may proceed in a court with jurisdiction. A court may stay proceedings where legally appropriate. The arbitrator may not conduct class arbitration absent all affected parties' written agreement.
If the individual-action restriction is unenforceable for a particular claim, that claim will proceed in court rather than class arbitration, while severable covered claims may remain in arbitration where lawful. This restriction concerns covered arbitration and does not create a standalone class-action waiver for disputes excluded from arbitration.
G. Thirty-Day Opt-Out
You may opt out of this arbitration agreement without affecting your access to Services by emailing info@correiafinancial.biz or mailing our address, Attn: Arbitration Opt-Out, within 30 days after you first accept these Terms. State your name, business name, contact information and that you opt out of arbitration. No special form or explanation is required. An email sent or letter postmarked within the period is timely.
If you timely opt out, neither party may require arbitration under this section. A later update will not cancel a valid opt-out or restart arbitration without a separate affirmative agreement. Opting out of these Terms does not revoke a separately signed arbitration agreement with a provider or another party.
H. Administrator Unavailability and Changes
If AAA cannot administer a dispute, the parties may agree to another neutral administrator. If they cannot agree, either may ask a court to appoint an arbitrator as permitted by law. If arbitration cannot lawfully proceed, the dispute may be brought in court. We will not use administrator substitution to avoid required fees, procedural protections or consequences of our own failure to comply.
Material changes to this arbitration section require appropriate notice and affirmative acceptance and will not govern a dispute already noticed or filed without the parties' separate agreement. This section survives termination as permitted by law.
24. Governing Law and Court Venue
California law governs these Terms, without applying conflict-of-law rules to defeat mandatory protections that otherwise apply. Federal law governs where applicable, including the Federal Arbitration Act as described above.
For disputes properly brought in court, the parties consent to the state courts in San Diego County, California, or the United States District Court for the Southern District of California where it has subject-matter jurisdiction, except where small claims rules, nonwaivable law or mandatory venue requirements provide otherwise. These Terms do not shorten a statutory deadline for bringing a claim. Attorneys' fees may be awarded only as permitted by applicable law or an enforceable agreement.
25. Changes to These Terms
We may revise these Terms prospectively and will update the dates above. For material changes affecting an existing relationship, we will provide reasonably conspicuous notice and obtain further acceptance where required. New terms do not retroactively change accrued rights, an accepted transaction-specific agreement or a previously noticed dispute without a valid separate agreement. The arbitration-specific protections in Section 23 also apply.
If you do not accept a material change requiring acceptance, you may discontinue future Services. Existing obligations remain governed by the applicable prior terms and agreements.
26. Relationship to Other Agreements and General Provisions
Order of priority. Applicable nonwaivable law controls. A separately signed agreement with the Company controls over these general Terms for the specific subject it addresses. A provider agreement governs the provider relationship. Specific application, credit, electronic-delivery and communication authorizations govern their stated scope. Our Privacy Policy controls descriptions of our information practices; these Terms do not expand consent or weaken privacy rights. No general provision silently replaces a separately accepted arbitration agreement.
Entire agreement. These Terms and the applicable separate documents identified above constitute the agreement on their respective subjects and replace prior inconsistent discussions about those subjects. This clause does not excuse fraud or nullify an existing signed transaction agreement.
Assignment. You may not assign contractual rights or obligations without our written consent, not unreasonably withheld, except as permitted by law. We may assign these Terms in connection with a legitimate business transfer or reorganization to a successor assuming the relevant obligations, subject to privacy commitments, required notices and applicable law. Assignment does not expand data permissions or eliminate accrued rights.
Severability and waiver. If a provision is unenforceable, the remaining provisions continue to the extent lawful, subject to the specific arbitration rules above. A failure to enforce a provision once is not a continuing waiver. No provision will be rewritten to impose a materially different obligation contrary to law.
Third-party beneficiaries. Except for Company personnel expressly protected by Sections 20 and 21 to the extent lawful, these Terms do not create enforcement rights for unrelated third parties.
Notices. Ordinary notices may be sent to the current contact information on record or the Company contacts below. Formal service of legal process remains governed by law; an ordinary email does not replace legally required service. A required notice is not deemed received merely because we attempted to send it when applicable law requires more.
